Platform Terms of Service

These Platform Terms of Service ("Terms") govern your use of the Heal Strong App software platform, website, and technology services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. These Terms apply to the technology platform itself and are separate from any terms of service of individual coaches or service providers who use our Platform.

1. Acceptance of Terms

By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Platform Privacy Policy. If you do not agree to these Terms, you may not use the Platform.

2. Platform Description

The Heal Strong App Platform provides:

• User account management and authentication
• Integration with third-party wearable devices (WHOOP, Oura Ring, etc.)
• Health and fitness data aggregation and visualization
• Coach-client communication and management tools
• Protocol and program management features
• Document storage and sharing capabilities

3. User Accounts

3.1 Account Registration

To use certain features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as necessary
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account

3.2 Account Types

• Client Accounts: For individuals receiving coaching services
• Coach Accounts: For service providers offering coaching through the Platform
• Admin Accounts: For Platform administrators

4. Third-Party Integrations

4.1 Wearable Device Connections

The Platform allows you to connect third-party wearable devices and services. By connecting a device, you:

• Authorize the Platform to access data from your connected devices
• Acknowledge that data is transferred subject to the third party's terms and privacy policy
• Understand that we are not responsible for the third party's service availability or accuracy
• May disconnect devices and revoke access at any time

4.2 Supported Integrations

Currently supported integrations include:

• WHOOP (whoop.com)
• Oura Ring (ouraring.com)

Additional integrations may be added. Each integration is subject to the respective third party's terms of service and availability.

5. Acceptable Use

You agree NOT to:

• Use the Platform for any unlawful purpose
• Attempt to gain unauthorized access to any systems or accounts
• Interfere with or disrupt the Platform's operation
• Upload malicious code, viruses, or harmful content
• Scrape, mine, or collect data from the Platform without authorization
• Impersonate another person or entity
• Use the Platform to harass, abuse, or harm others
• Violate any applicable laws or regulations
• Reverse engineer, decompile, or attempt to derive source code
• Resell or redistribute Platform access without authorization

6. Intellectual Property

6.1 Platform Ownership

The Platform, including all software, design, text, graphics, logos, and other content, is owned by Heal Strong App / CodexDeus LLC and protected by intellectual property laws.

6.2 User Content

You retain ownership of content you upload to the Platform. By uploading content, you grant us a license to store, display, and process that content as necessary to provide the Platform services.

6.3 Feedback

Any feedback, suggestions, or ideas you provide about the Platform may be used by us without obligation or compensation to you.

7. Data and Privacy

Your use of the Platform is subject to our Platform Privacy Policy, which describes how we collect, use, and protect your information. By using the Platform, you consent to our data practices as described in the Privacy Policy.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE PAST 12 MONTHS, OR $100, WHICHEVER IS GREATER
• WE ARE NOT LIABLE FOR DAMAGES ARISING FROM THIRD-PARTY SERVICES, INTEGRATIONS, OR DATA
• WE ARE NOT LIABLE FOR SERVICE INTERRUPTIONS, DATA LOSS, OR SECURITY BREACHES BEYOND OUR REASONABLE CONTROL

10. Indemnification

You agree to indemnify, defend, and hold harmless Heal Strong App, CodexDeus LLC, and our officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorney fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any third-party rights
• Content you upload or transmit through the Platform

11. Termination

11.1 By You

You may terminate your account at any time by contacting us or using account deletion features within the Platform.

11.2 By Us

We may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice. Reasons for termination may include:

• Violation of these Terms
• Fraudulent or illegal activity
• Extended periods of inactivity
• Request by law enforcement or government agencies
• Discontinuation of the Platform

11.3 Effect of Termination

Upon termination, your right to use the Platform ceases immediately. We may delete your data in accordance with our data retention policies. Sections of these Terms that by their nature should survive termination shall survive.

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

12.2 Arbitration

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration in Los Angeles County, California, in accordance with the rules of the American Arbitration Association. You waive any right to participate in class action lawsuits or class-wide arbitration.

12.3 Exceptions

Notwithstanding the above, either party may seek injunctive relief in court for intellectual property violations or unauthorized access to the Platform.

13. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Platform.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Our failure to enforce any right does not waive our ability to enforce it later.
• Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
• Notices: We may provide notices via email, in-app notifications, or posting on the Platform.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms with a new effective date and, for significant changes, by email or in-app notification. Your continued use of the Platform after changes are posted constitutes acceptance of the modified Terms.
